Autonomous Legal Counsel (Peru/Brazil) fluent in Spanish, Portuguese, and English. Lead compliance, loan & investment deals, collections, and entity management with full ownership.
About the job
The Legal Counsel is responsible to independently advise on legal and regulatory compliance, loan, investments transactions, collections, and entity management. The role requires a high degree of autonomy and ownership, with the ability to manage a full legal workload with minimal day-to-day supervision.
Main responsibilities
The Legal Counsel has four main areas of focus:
A. Lending Activities: The Legal Counsel supports drafting, reviews, and negotiates loan agreements and collateral documentation with the assistance of external counsel, ensuring enforceability and fulfilment of all required formalities to safeguard Oikocredit’s rights as a creditor. This includes credit facility agreements, security packages, and intercreditor arrangements.
B. Equity Investments: The Legal Counsel advises on the legal aspects of equity transactions, including acquisitions, exits, and ongoing corporate governance of investee entities.
C. Collections and Dispute Management: The Legal Counsel manages collection processes and legal disputes, coordinating with external counsel as needed and advising internal stakeholders on enforcement strategies and risk exposure.
D. Entity Administration and General Contracts: The Legal Counsel supports the maintenance and housekeeping of legal entities in the region, including corporate filings, powers of attorney, and general commercial contracts.
Across all areas:
The Legal Counsel monitors and advises applicable new laws and regulations, translating these into internal guidelines and procedures.
The Legal Counsel identifies legal risks and, under the supervision of the Head of Legal Impact Investments, supports him/her and regional management in raising awareness of legal risks and other legal aspects of our operations in a broader sense.
To provide these services, the Legal Counsel makes use of external counsel, coordinating a network of experts and managing the resulting legal costs.
Education, skills and experience
Masters’ Degree in the field of law (optional but preferable), with specialization in corporate or international commercial law.
Minimum of 4 years of relevant work experience.
Good interpersonal skills.
High computer literacy in general.
Fluency in English and local Spanish and Portuguese (working knowledge of Portuguese at minimum reading and document review level) is a strong advantage).
Demonstrated ability to work independently, manage competing priorities, and take full ownership of a legal portfolio with minimal supervision.
